Mixcover GmbH, Neumann-Reichardt-Str. 27–33, 22041 Hamburg (hierna „Mixcover") levert producten van de merken Mixcover, 040parts en Moin Minis uitsluitend aan ondernemers in de zin van § 14 BGB (hierna „Handelaren").

Deze voorwaarden regelen in het bijzonder leveringen in het kader van de dropshipping-procedure, waarbij Mixcover goederen in opdracht van de handelaar rechtstreeks aan diens eindklanten verzendt. De handelaar blijft in elk geval de enige contractpartner van de eindklant.

De verzending vindt in principe uitsluitend plaats binnen Duitsland. Leveringen naar andere landen van de Europese Unie vinden alleen plaats na voorafgaande schriftelijke aanvraag en aparte overeenkomst onder bijzondere voorwaarden en verzendkosten.

Mixcover levert de door de handelaar bestelde producten ofwel aan de handelaar zelf, ofwel – in het kader van de dropshipping-procedure – rechtstreeks aan eindklanten aangewezen door de handelaar.

Er bestaat geen recht op gebruik van de dropshipping-procedure.

Een door de handelaar medegedeelde, veronderstelde of geplande toepassing van de producten – met name wat betreft bepaalde distributiekanalen, marktplaatsen of eindklantsegmenten – vormt geen rechtsgrond voor de overeenkomst. De beoordeling van de geschiktheid van de producten voor het beoogde gebruik is uitsluitend de verantwoordelijkheid van de handelaar.

Afwijkingen tussen bestelling en orderbevestiging worden geacht goedgekeurd te zijn, tenzij de handelaar binnen vijf werkdagen na ontvangst van de orderbevestiging schriftelijk tegen bezwaar maakt.

De wederverkoop van de producten is alleen toegestaan in het kader van deze voorwaarden.

Verkoop via de volgende platforms is uitdrukkelijk verboden: Amazon (alle domeinen), eBay (alle domeinen), Otto (alle domeinen), Obelink (alle domeinen).

Verkoop via andere online marktplaatsen of platforms (bijv. Kaufland, Etsy) vereist voorafgaande schriftelijke toestemming van Mixcover. Er bestaat geen recht op toestemming.

Bij inbreuk is Mixcover gerechtigd de zakenrelatie buitengewoon op te zeggen en schadevergoeding in te stellen.

De handelaar is uitsluitend verantwoordelijk voor: contractsluiting met de eindklant, prijsstelling en betalingsafhandeling, klantencommunicatie alsmede intrekking, ontbinding en garantie.

Mixcover treedt niet op als verkoper tegenover eindklanten en verleent geen eindklantenservice.

De handelaar moet de goederen onmiddellijk na risicoovergang inspecteren op gebreken, verkeerde afleveringen en hoeveelheidsverschillen en deze onmiddellijk schriftelijk reclammeren. Bij niet-reclamering worden de producten geacht goedgekeurd te zijn.

Bestellingen zijn uitsluitend toegestaan met behulp van de door Mixcover voorgegeven XLS-bestellingssjabloon en moeten per e-mail naar sales@mixcover.de worden verzonden. Andere bestellingsmethoden zijn uitgesloten.

Verdere details over formaten, technische processen, servers of voorraadniveaus kunnen afzonderlijk worden afgestemd. Mixcover is gerechtigd processen en workflows op elk moment aan te passen; de handelaar moet zich aan de respectieve huidige bepalingen houden.

De verzending vindt uitsluitend plaats binnen de EU via DHL, Deutsche Post (kleinpakket) en DPD. Er is geen minimale bestellingswaarde.

Alle leveringen zijn EXW (Ex Works) conform de respectieve huidige versie van de Incoterms®.

Het risico van toeval verlies of verslechtering van de goederen gaat uiterlijk met overdracht aan de verzendende maatschappij op de handelaar over. Wanneer verzending wordt vertraagd door redenen waarvoor de handelaar aansprakelijk is, gaat het risico over bij kennisgeving van verzendbereidheid.

Hernieuwde leveringen binnen Duitsland, nodig vanwege weigeringvan ontvangst, onbestelbare adressen of onjuiste adresgegevens, vinden plaats volgens de respectieve geldende aparte verzendkostentabel van Mixcover.

Geretourneerde goederen worden naar keuze van de handelaar voor een bewerkingstarief van 5,00 EUR netto plus verzendkosten opnieuw bezorgd of opnieuw ingevoerd volgens de heringstockeeringstarieven.

De inkoopprijzen van de respectieve geldende prijslijst op het moment van bestelling zijn van toepassing. Alle prijzen zijn netto exclusief wettelijk BTW.

Wijzigingen van de prijslijst worden medegedeeld met een termijn van 30 dagen. Een afzonderlijke dropshipping-vergoeding wordt niet uitgeschreven; deze is in de inkoopprijzen begrepen.

Facturen zijn binnen 14 dagen netto zonder korting betaalbaar. Contantkortingen of overige kortingen worden niet gegeven.

Bij betalingsachterstand of herkenbare betalingsonzekerheid is Mixcover gerechtigd leveringen in te houden, openstaande bestellingen te annuleren of alleen tegen vooruitbetaling of zekerheid te leveren.

Retouren worden alleen na voorafgaande goedkeuring geaccepteerd. Niet-aangemelde retourzendingen worden niet verwerkt; voor reeds binnenkomende zendingen wordt een verwerkingstarief van 10,00 EUR netto in rekening gebracht.

In geval van aantoonbaar productiegebreken wordt na inspectie een creditnota voor de waarde van de goederen afgegeven. Defecte goederen moeten op verzoek naar Mixcover worden geretourneerd. Verzendkosten worden niet terugbetaald.

Heringstockeeringstarieven (netto): tot 200 EUR goedewaarde: 5 EUR · tot 1.000 EUR goedewaarde: 25 EUR · boven 1.000 EUR goedewaarde: 50 EUR.

Bijzondere gevallen of afwijkingen van het standaardproces die handmatige verwerking vereisen, worden in rekening gebracht op basis van 35,00 EUR netto per uur. Facturering vindt plaats in 10-minutenblokken.

De handelaar kan eigen verzendlabels verstrekken. In dit geval gelden de verzendkosten van Mixcover niet.

Afwijkingen vereisen voorafgaande afstemming met Mixcover.

Mixcover is aansprakelijk voor zake- en vermogensschade uitsluitend in geval van opzet, grove schuld of geringe schuld bij schending van essentiële contractverplichtingen (kardinaalverplichtingen). In het laatste geval is de aansprakelijkheid beperkt tot de typische, voorzienbare schade.

Aansprakelijkheid voor gederfde winsten, omzetverliezen, marktplaatsblokkeringen alsmede marketing- of campagnekosten is uitgesloten.

De beperkingen van aansprakelijkheid gelden niet bij verwonding van leven, lichaam of gezondheid, bij vorderingen onder de Productwaarborging of bij aanname van garantie.

De handelaar is verplicht voldoende aansprakelijkheidsverzekering voor producten te handhaven.

Voorzover Mixcover de handelaar toestemming geeft voor het gebruik van productafbeeldingen, teksten of ander auteursrechtelijk beschermd materiaal, geschiedt dit onder voorbehoud van intrekking, niet-exclusief en uitsluitend voor goedgekeurde distributiekanalen.

Bij beëindiging van de overeenkomst of bij schending van deze voorwaarden moet het gebruik onmiddellijk worden stopgezet. Er is geen recht op voortzetting of vergoeding.

Onderdeel van deze Algemene leverdings- en dropshippingvoorwaarden zijn in hun respectieve geldende versies in het bijzonder: de verzendkostentabel van Mixcover GmbH, de respectieve geldende prijslijst van Mixcover GmbH, eventuele onboarding-, proces- of richtlijnendocumenten in verband met de dropshipping-procedure alsmede de bestellingssjabloon (XLS-formaat) verstrekt door Mixcover.

Mixcover behoudt zich het recht voor deze documenten op elk moment aan te passen of bij te werken. Bepalend is steeds de versie die laatst aan de handelaar ter beschikking is gesteld.

Deze leverdings- en dropshippingvoorwaarden gelden voorrangig voor alle dropshipping-zaken.

Voor aangelegenheden die hierin niet uitdrukkelijk zijn geregeld, gelden aanvullend de Algemene Verkoopvoorwaarden (B2B) van Mixcover GmbH in hun respectieve geldende versie.

De overeenkomst loopt voor onbepaalde tijd en kan regelmatig worden opgezegd met een termijn van 3 maanden. Het recht op buitengewone opzegging blijft onverlet.

Duits recht is van toepassing met uitsluiting van het VN-Koopverdrag. Rechtsgebied is Hamburg.

Mochten afzonderlijke bepalingen ongeldig zijn of worden, blijft de geldigheid van de overige bepalingen onverlet; deze worden vervangen door een bepaling die het economische doel het dichtst benadert.

Mixcover GmbH, Neumann-Reichardt-Str. 27–33, 22041 Hamburg, Germany (hereinafter "Mixcover"), supplies products of the brands Mixcover, 040parts and Moin Minis exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB) (hereinafter "Retailers").

These terms govern in particular deliveries within the scope of the dropshipping procedure, under which Mixcover ships goods directly to the retailer's end customers on behalf of the retailer. The retailer shall in all cases remain the sole contractual partner of the end customer.

Shipping is generally carried out exclusively within Germany. Deliveries to other countries of the European Union are only possible upon prior written request and separate agreement on special conditions and shipping costs.

Mixcover delivers the products ordered by the retailer either to the retailer itself or – within the scope of the dropshipping procedure – directly to end customers designated by the retailer.

There is no entitlement to use the dropshipping procedure.

Any communicated, assumed or planned use of the products by the retailer – in particular with regard to specific sales channels, marketplaces or end customer segments – does not constitute a basis of the business transaction. The assessment of the suitability of the products for the intended purpose lies solely with the retailer.

Deviations between the order and the order confirmation shall be deemed approved unless the retailer objects in writing within five working days of receipt of the order confirmation.

The resale of the products is only permitted within the framework of these terms.

Sales via the following platforms are expressly prohibited: Amazon (all domains), eBay (all domains), Otto (all domains), Obelink (all domains).

Sales via other online marketplaces or platforms (e.g. Kaufland, Etsy) require the prior written consent of Mixcover. There is no entitlement to such consent.

In the event of violations, Mixcover is entitled to terminate the business relationship without notice and to assert claims for damages.

The retailer is solely responsible for: conclusion of the contract with the end customer, pricing and payment processing, customer communication, and cancellation, withdrawal and warranty.

Mixcover does not act as a seller vis-à-vis end customers and does not provide end customer service.

The retailer must inspect the goods immediately after the transfer of risk for defects, incorrect deliveries and quantity deviations and notify Mixcover thereof in writing without delay. Failure to give notice shall be deemed approval of the products.

Orders are permitted exclusively using the CSV or XLSX order template specified by Mixcover and must be submitted by email to sales@mixcover.de. Other ordering methods are excluded.

Further details on formats, technical processes, servers or inventory levels may be agreed separately. Mixcover is entitled to adjust processes and workflows at any time; the retailer must comply with the respective current specifications.

Shipping is carried out exclusively within the EU via DHL, Deutsche Post (small parcel) and DPD. There is no minimum order value.

All deliveries are made EXW (Ex Works) in accordance with the respective current version of the Incoterms®.

The risk of accidental loss or deterioration of the goods shall pass to the retailer at the latest upon handover to the shipping service provider. If shipment is delayed for reasons attributable to the retailer, the risk shall pass upon notification of readiness for shipment.

Redeliveries within Germany that become necessary due to refusal of acceptance, non-deliverability or incorrect address data shall be carried out in accordance with Mixcover's respective valid separate shipping cost table.

Returned goods shall, at the retailer's choice, be redelivered for a processing fee of EUR 5.00 net plus shipping costs, or be restocked in accordance with the restocking fees.

The purchase prices of the respective valid price list at the time of order shall apply. All prices are net prices plus statutory VAT.

Price list changes will be communicated with a notice period of 30 days. A separate dropshipping fee is not shown; it is included in the purchase prices.

Invoices are payable within 14 days net without deduction. Cash discounts or other rebates are not granted.

In the event of default in payment or recognizable uncertainty of payment, Mixcover is entitled to withhold deliveries, cancel open orders or deliver only against advance payment or security.

Returns are accepted only after prior approval. Unregistered returns will not be processed; a processing fee of EUR 10.00 net will be charged for any shipments nevertheless received.

In the case of demonstrably production-related defects, a credit note for the value of the goods will be issued after inspection. Defective goods must be returned to Mixcover upon request. Shipping costs will not be reimbursed.

Restocking fees (net): up to EUR 200 goods value: EUR 5 · up to EUR 1,000 goods value: EUR 25 · over EUR 1,000 goods value: EUR 50.

Special cases or deviations from the standard process requiring manual processing will be charged at EUR 35.00 net per hour. Billing is carried out in 10-minute increments.

The retailer may provide its own shipping labels. In this case, Mixcover's shipping costs shall not apply.

Requirements: identification in the order table · immediate submission of the label after ordering to pickpack01@mixcover.de · PDF format, 150 × 105 mm · subject line: order number and surname of the end customer.

Deviations require prior coordination with Mixcover.

Mixcover shall be liable for property and financial damages only in cases of intent, gross negligence or slight negligence in the breach of essential contractual obligations (cardinal obligations). In the latter case, liability is limited to the typical, foreseeable damage.

Liability for lost profits, loss of turnover, marketplace suspensions, as well as marketing or campaign costs is excluded.

The limitations of liability shall not apply in the event of injury to life, body or health, in the case of claims under the Product Liability Act, or in the case of the assumption of a guarantee.

The retailer is obliged to maintain sufficient product liability insurance.

If Mixcover permits the retailer to use product images, texts or other copyrighted materials, this is done revocably, non-exclusively and exclusively for approved sales channels.

Upon termination of the contract or in the event of a breach of these terms, use must be discontinued immediately. There is no entitlement to continuation or compensation.

These General Terms and Conditions of Delivery and Dropshipping include in their respective valid versions in particular: the shipping cost table of Mixcover GmbH, the respective valid price list of Mixcover GmbH, any onboarding, process or guideline documents in connection with the dropshipping procedure, and the order template (CSV or XLS format) provided by Mixcover.

Mixcover reserves the right to amend or update these documents at any time. The version last made available to the retailer shall be decisive.

These Delivery and Dropshipping Terms shall take precedence for all dropshipping transactions.

For matters not expressly regulated herein, the General Terms and Conditions of Sale (B2B) of Mixcover GmbH shall apply in their respective valid version.

The contract is concluded for an indefinite period and may be terminated ordinarily with a notice period of three months. The right to extraordinary termination remains unaffected.

German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is Hamburg.

Should individual provisions be or become invalid, the validity of the remaining provisions shall remain unaffected; they shall be replaced by a provision that most closely reflects the economic purpose.
