General Delivery and Dropshipping Terms and Conditions (B2B) of Mixcover GmbH

Notice: The German version of these terms is authoritative. The English version is provided as an informal translation only. In the event of any discrepancies or contradictions between language versions, the German version shall apply.

01 Scope & Preamble

Mixcover GmbH, Neumann-Reichardt-Str. 27–33, 22041 Hamburg (hereinafter "Mixcover"), supplies products of the brands Mixcover, 040parts and Moin Minis exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB) (hereinafter "Retailers").

These terms govern in particular deliveries within the scope of the dropshipping procedure, under which Mixcover ships goods directly to the retailer's end customers on behalf of the retailer. The retailer shall in all cases remain the sole contractual partner of the end customer.

Shipping is generally carried out exclusively within Germany. Deliveries to other countries of the European Union are only possible upon prior written request and separate agreement on special conditions and shipping costs.

02 Subject Matter & Conclusion of Contract

Mixcover delivers the products ordered by the retailer either to the retailer itself or – within the scope of the dropshipping procedure – directly to end customers designated by the retailer.

There is no entitlement to use the dropshipping procedure.

Any communicated, assumed or planned use of the products by the retailer – in particular with regard to specific sales channels, marketplaces or end customer segments – does not constitute a basis of the business transaction. The assessment of the suitability of the products for the intended purpose lies solely with the retailer.

Deviations between the order and the order confirmation shall be deemed approved unless the retailer objects in writing within five working days of receipt of the order confirmation.

03 Distribution & Sales Platforms

§ 3.1 Permitted Distribution

The resale of the products is only permitted within the framework of these terms.

§ 3.2 Prohibited Sales Channels

Sales via the following platforms are expressly prohibited: Amazon (all domains), eBay (all domains), Otto (all domains), Obelink (all domains).

§ 3.3 Other Marketplaces

Sales via other online marketplaces or platforms (e.g. Kaufland, Etsy) require the prior written consent of Mixcover. There is no entitlement to such consent.

§ 3.4 Sanctions

In the event of violations, Mixcover is entitled to terminate the business relationship without notice and to assert claims for damages.

04 Obligations of the Retailer

The retailer is solely responsible for: conclusion of the contract with the end customer, pricing and payment processing, customer communication, and cancellation, withdrawal and warranty.

Mixcover does not act as a seller towards end customers and does not provide end customer service.

The retailer must inspect the goods immediately after the transfer of risk for defects, incorrect deliveries and quantity deviations and notify Mixcover thereof in writing without delay. Failure to give notice shall be deemed approval of the products.

05 Orders & Processing

Orders are permitted exclusively using the XLS order template specified by Mixcover and must be submitted by email to sales@mixcover.de. Other ordering methods are excluded.

Further details on formats, technical processes, servers or inventory levels may be agreed separately. Mixcover is entitled to adjust processes and workflows at any time; the retailer must comply with the respective current specifications.

06 Delivery, Shipping & Transfer of Risk

Shipping is carried out exclusively within the EU via DHL, Deutsche Post (small parcel) and DPD. There is no minimum order value.

All deliveries are made EXW (Ex Works) in accordance with the respective current version of the Incoterms®.

The risk of accidental loss or deterioration of the goods shall pass to the retailer at the latest upon handover to the shipping service provider. If shipment is delayed for reasons attributable to the retailer, the risk shall pass upon notification of readiness for shipment.

07 Shipping Costs, Returns & Redelivery

Redeliveries within Germany that become necessary due to refusal of acceptance, non-deliverability or incorrect address data shall be carried out in accordance with Mixcover's respective valid separate shipping cost table.

Returned goods shall, at the retailer's choice, be redelivered for a processing fee of EUR 5.00 net plus shipping costs, or be restocked in accordance with the restocking fees.

08 Prices & Payment Terms

The purchase prices of the respective valid price list at the time of order shall apply. All prices are net prices plus statutory VAT.

Price list changes will be communicated with a notice period of 30 days. A separate dropshipping fee is not shown; it is included in the purchase prices.

Invoices are payable within 14 days net without deduction. Cash discounts or other rebates are not granted.

In the event of default in payment or recognizable uncertainty of payment, Mixcover is entitled to withhold deliveries, cancel open orders or deliver only against advance payment or security.

09 Returns & Restocking

Returns are accepted only after prior approval. Unregistered returns will not be processed; a processing fee of EUR 10.00 net will be charged for any shipments nevertheless received.

In the case of demonstrably production-related defects, a credit note for the value of the goods will be issued after inspection. Defective goods must be returned to Mixcover upon request. Shipping costs will not be reimbursed.

Restocking fees (net): up to EUR 200 goods value: EUR 5 · up to EUR 1,000 goods value: EUR 25 · over EUR 1,000 goods value: EUR 50.

10 Special Services & Manual Processing

Special cases or deviations from the standard process requiring manual processing will be charged at EUR 35.00 net per hour. Billing is carried out in 10-minute increments.

11 Shipping with Own Labels

The retailer may provide its own shipping labels. In this case, Mixcover's shipping costs shall not apply.

Requirements: identification in the order table · immediate submission of the label after ordering to pickpack01@mixcover.de · PDF format, 150 × 105 mm · subject line: order number and surname of the end customer.

Deviations require prior coordination with Mixcover.

12 Liability

Mixcover shall be liable for property and financial damages only in cases of intent, gross negligence or slight negligence in the breach of essential contractual obligations (cardinal obligations). In the latter case, liability is limited to the typical, foreseeable damage.

Liability for lost profits, loss of turnover, marketplace suspensions, as well as marketing or campaign costs is excluded.

The limitations of liability shall not apply in the event of injury to life, body or health, in the case of claims under the Product Liability Act, or in the case of the assumption of a guarantee.

The retailer is obliged to maintain sufficient product liability insurance.

13 Intellectual Property & License Rights

If Mixcover permits the retailer to use product images, texts or other copyrighted materials, this is done revocably, non-exclusively and exclusively for approved sales channels.

Upon termination of the contract or in the event of a breach of these terms, use must be discontinued immediately. There is no entitlement to continuation or compensation.

14 Annexes & Supplementary Documents

These General Terms and Conditions of Delivery and Dropshipping include in their respective valid versions in particular: the shipping cost table of Mixcover GmbH, the respective valid price list of Mixcover GmbH, any onboarding, process or guideline documents in connection with the dropshipping procedure, and the order template (XLS format) provided by Mixcover.

Mixcover reserves the right to amend or update these documents at any time. The version last made available to the retailer shall be decisive.

15 Order of Precedence & Supplementary Application

These Delivery and Dropshipping Terms shall take precedence for all dropshipping transactions.

For matters not expressly regulated herein, the General Terms and Conditions of Sale (B2B) of Mixcover GmbH shall apply in their respective valid version.

16 Term, Governing Law & Final Provisions

The contract is concluded for an indefinite period and may be terminated ordinarily with a notice period of three months. The right to extraordinary termination remains unaffected.

German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is Hamburg.

Should individual provisions be or become invalid, the validity of the remaining provisions shall remain unaffected; they shall be replaced by a provision that most closely reflects the economic purpose.
